You are responsible for safeguarding your login credentials.
Notify Prolp immediately of any unauthorized use of your account.
Prolp reserves the right to suspend or terminate accounts for violations of these Terms.

3. Use of the Platform

For Homeowners and Customers

Use Prolp to search, compare, and connect with professionals.
Do not use the Platform for unlawful activities or to misrepresent information.

For Professionals and Contractors

Provide accurate and truthful information about your services, licenses, insurance, and service areas.
Do not create fake reviews, mislead customers, or perform services beyond your qualifications.
Comply with all applicable laws and local codes.

4. User Content and Reviews

By submitting content, you grant Prolp a worldwide, royalty-free, perpetual license to use, display, and distribute it.
Reviews must be based on actual experiences.
Fake, incentivized, defamatory, or irrelevant reviews are prohibited.
Prolp may remove or edit content that violates these Terms.

5. Payments and Fees

Some services may require payment, including premium features for professionals.
Fees are disclosed before purchase and are non-refundable unless otherwise stated.
You authorize Prolp to process payments via secure third-party systems.

6. Prohibited Activities

You agree not to:

Use the Platform for illegal purposes.
Harass, threaten, or abuse others.
Upload malware, spam, or harmful code.
Attempt unauthorized access to systems or data.
Use bots or scraping tools to collect information.

7. Intellectual Property

All content on Prolp, including logos, trademarks, designs, and software, belongs to Prolp or its licensors.
You may not copy, reproduce, or create derivative works without written permission.

8. Professional Conduct and Obligations

Professionals must honor scheduled jobs and maintain clear communication with customers.
Professionals are solely responsible for the quality, safety, and legality of their services.
Failure to meet standards may result in suspension or removal from Prolp.

9. Customer Responsibilities

Customers must accurately describe their projects.
Customers must be available for scheduled appointments.
Payment arrangements between customers and professionals are their responsibility.

10. Disclaimers

Prolp is a marketplace, not an employer or guarantor of professionals.
We do not control, monitor, or guarantee service quality or safety.
All contracts are strictly between customers and professionals.

11. Limitation of Liability

Prolp is not liable for indirect, incidental, punitive, or consequential damages.
Direct damages are limited to the greater of $100 USD or the total amount paid to Prolp in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold Prolp harmless from any claims, damages, or expenses resulting from:

Your use of the Platform.
Your violation of these Terms.
Your violation of third-party rights.

13. Dispute Resolution and Arbitration

Disputes must first be addressed directly with Prolp.
If unresolved, disputes will be submitted to binding arbitration under the American Arbitration Association (AAA).
Arbitration will occur in the United States, in English, under U.S. law.
Class actions and jury trials are waived.

14. Governing Law

These Terms are governed by U.S. law, without regard to conflict-of-law principles.

15. Termination of Accounts

Prolp may suspend or terminate accounts for violations of these Terms.
You may close your account at any time.
Obligations related to liability, indemnification, and intellectual property remain in force after termination.

16. Force Majeure

Prolp is not responsible for delays or failures caused by events beyond our control — including natural disasters, strikes, outages, or government restrictions.

17. Assignment

You may not assign these Terms without prior written consent.
Prolp may assign these Terms in the event of merger, acquisition, or restructuring.

18. Severability

If any provision is found invalid, the rest of the Terms remain in effect.

19. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Prolp.

20. Updates to Terms

Prolp may update these Terms periodically.
Changes take effect upon posting.
Continued use means acceptance of updated Terms.
